Affiliate Terms

These Affiliate Terms (“Terms”) govern participation in the Envizia Affiliate Program (the “Program”) operated by Strata Mixed Reality Inc. (“Strata,” “we,” “us,” or “our”). By applying to, enrolling in, or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by these Terms.
Please read these Terms carefully before registering or promoting Envizia or related Strata offerings as an Affiliate.
Program Overview
The Envizia Affiliate Program allows approved Affiliates to promote Envizia through referral links, promotional codes, approved marketing content, or other authorized attribution methods. Affiliates may earn commissions on qualifying purchases made by eligible customers referred through approved attribution mechanisms.
Participation in the Program is solely for the purpose of promoting Envizia and receiving commissions on qualifying purchases in accordance with these Terms. Participation in the Program does not create any employment, partnership, franchise, joint venture, agency, or sales representative relationship between you and Strata.
Eligibility
To participate in the Program, you must:
- be at least 18 years old;
- provide complete and accurate application and account information;
- maintain any required payment profile or payout method in good standing;
- comply with these Terms and all applicable laws, rules, and regulations.
Strata reserves the right to approve, reject, suspend, or remove any applicant or Affiliate at its sole discretion.
Referral Attribution
Referrals may be tracked using one or more approved attribution methods, including but not limited to:
- referral links;
- promotional codes;
- Stripe coupon identifiers;
- pricing identifiers;
- cookies;
- internal billing or attribution records.
A valid referral mechanism may be required at the time of purchase for attribution eligibility.
If multiple referral sources, codes, links, or attribution claims apply to the same customer or transaction, Strata may determine attribution based on factors such as the last valid referral interaction, promotional code usage, internal billing records, and other tracking data. Strata reserves final authority to determine attribution eligibility in all cases.
Referral attribution may be subject to validation periods, attribution windows, anti-fraud review, and other Program rules in effect at the time of the transaction.
Commission Structure
Commission rates, commission periods, payout eligibility rules, and commission structures are determined by the Affiliate Program configuration, Affiliate dashboard, related program materials, or other written communication issued by Strata, and may vary by promotion, subscription plan, offer, or time period.
Commissions may include, where applicable:
- initial purchase commissions;
- recurring subscription commissions;
- time-limited commission periods;
- tiered or changing commission rates over time;
- promotional adjustments for discounted, free, nominal-cost, or introductory pricing periods.
Unless otherwise specified by Strata in writing, recurring commissions are limited to a defined commission eligibility period per referred customer. Commission eligibility does not continue indefinitely and may be capped for a stated duration, including a twelve-month period where applicable under the Program configuration.
Strata reserves the right to modify commission rates, durations, structures, eligibility criteria, qualifying products, and promotional rules at any time in its sole discretion.
Qualifying Purchases
Commissions are earned only on qualifying purchases that are properly attributed, successfully completed, and not excluded under these Terms or the Program configuration.
Commission eligibility may apply only to products and services developed directly by Strata. Certain partner offerings, third-party services, taxes, fees, credits, adjustments, or other categories of charges may be excluded from commission eligibility.
Participation in the Program does not affect the price customers pay unless expressly stated by Strata.
Recurring Commission Eligibility
If recurring commissions are offered, they apply only while all applicable eligibility conditions remain satisfied, including but not limited to the following:
- the referred customer maintains an active paid subscription;
- the Affiliate remains active and in good standing;
- the Program structure in effect includes recurring commissions;
- the applicable commission eligibility period has not expired.
Recurring commissions may stop, be reduced, or become ineligible if:
- the subscription is canceled or expires;
- a payment fails or is reversed;
- a refund, credit, chargeback, or dispute occurs;
- attribution becomes invalid or cannot be verified;
- the customer account is flagged for abuse, fraud, or violation of applicable terms;
- the Program structure changes.
Promotional Period Adjustments
Where a referred customer subscribes through a discounted, free, nominal-cost, trial, introductory, or other special promotional offer, commissions may be reduced, delayed, excluded, or otherwise adjusted as determined by the Affiliate Program configuration or Strata’s internal billing rules.
Strata shall have sole discretion to determine whether a transaction occurring during a promotional period qualifies for commission and in what amount.
Attribution Windows
Where applicable, referral attribution may be subject to defined tracking windows, cookie durations, validation periods, and other attribution rules established by Strata or the Program configuration.
Strata reserves the right to determine attribution eligibility based on internal tracking systems, billing records, fraud prevention controls, and technical limitations.
Self-Referrals and Related Party Transactions
Affiliates may not earn commissions on purchases made:
- for their own personal use;
- by their business or organization;
- by accounts they own, manage, or control;
- by any person or entity acting on their behalf for the purpose of generating commissions.
Strata may reverse commissions, withhold payouts, or terminate participation for self-referrals or related-party purchases that violate these Terms.
Prohibited Incentives and Abuse
Affiliates may not offer cash payments, rebates, kickbacks, stored value, gift cards, rewards, or other incentives in exchange for a customer using the Affiliate’s referral link or promotional code unless Strata has expressly approved such activity in writing.
Affiliates may not engage in coupon arbitrage, artificial transaction creation, deceptive discount promotion, or any activity primarily intended to generate commissions without genuine customer acquisition.
Fair Use and Program Integrity
The Program is intended for legitimate promotional activity that results in genuine customer acquisition and sustainable subscription activity.
Strata reserves the right to review Affiliate accounts, referred customer accounts, attribution patterns, discount usage, refund behavior, low-value transaction patterns, unusual conversion behavior, or any other activity that may indicate abuse, manipulation, or conduct inconsistent with the intended purpose of the Program.
Activity that does not reflect legitimate marketing efforts, or that creates abnormal commercial risk for Strata, may result in one or more of the following:
- commission denial;
- commission adjustment or reversal;
- payout delay;
- manual review or account verification;
- suspension or termination from the Program.
Promotional Code Use
If referral attribution depends in whole or in part on promotional codes, the customer must use a valid and properly assigned promotional code at the time of purchase unless otherwise stated by Strata.
Affiliates may not promote unauthorized coupon codes, create the false impression that discounts exist when they do not, or represent that they are authorized to offer discounts beyond those specifically assigned or approved by Strata.
Strata is not responsible for missed attribution when a required promotional code, referral link, or other attribution method is not properly used at checkout or cannot be verified.
Refunds, Chargebacks, and Invalid Transactions
No commissions are earned on refunded, reversed, disputed, fraudulent, or otherwise invalid transactions.
If commissions were previously credited on transactions that later become refunded, charged back, reversed, canceled, invalidated, or determined to be ineligible, Strata may reverse those commissions or deduct the corresponding amounts from future payouts or accrued balances.
Commission Payments
Commission payouts are made only on eligible commissions that have passed any applicable validation period and remain valid at the time of payout.
Affiliates may be required to maintain a valid payout account or Payment Service Profile in order to receive payment. Payment processing services may be provided through third-party processors such as Stripe. Strata does not store Affiliate payout credentials except as necessary to administer the Program.
Commission payouts are typically issued approximately 45 days after commissions become eligible for payment, although payout timing may vary. A minimum payout threshold may apply, including a minimum accumulated commission balance of $20.00 USD before payout becomes available.
Strata reserves the right to delay, withhold, offset, adjust, or decline payouts in cases involving fraud review, policy violations, billing anomalies, account verification issues, tax documentation issues, customer abuse, or other operational or legal concerns.
Taxes
Affiliates are solely responsible for all taxes, duties, levies, and other governmental charges arising from commission payments or participation in the Program. Strata does not withhold taxes from Affiliate payments unless required by law.
Affiliates must provide any requested tax forms or documentation as a condition of receiving payouts where applicable.
Acceptable Promotion Methods
Affiliates may promote Envizia using lawful and non-deceptive methods, including:
- educational content;
- tutorials;
- reviews;
- demonstrations;
- social media posts;
- newsletters;
- websites;
- other approved marketing materials.
Affiliates may not:
- impersonate Strata or Envizia;
- misrepresent product capabilities, pricing, or policies;
- make false, misleading, or unsubstantiated claims;
- send unsolicited bulk messages, spam, or other unlawful communications;
- use deceptive redirects, forced clicks, cookie stuffing, hidden links, or other manipulative attribution practices;
- bid on restricted trademark keywords without written permission;
- distribute unauthorized coupon codes or unauthorized discount claims.
FTC and Legal Disclosure Compliance
Affiliates must clearly and conspicuously disclose their affiliate relationship where required by applicable law, including under United States Federal Trade Commission endorsement and testimonial guidelines.
Example disclosure:
“This post contains affiliate links. I may receive a commission if you subscribe through them.”
Affiliates are solely responsible for ensuring that their promotional practices comply with all advertising, disclosure, privacy, consumer protection, and anti-spam laws applicable to their activities.
Data and Reporting Access
Affiliates may be given access to selected reporting information, such as click-through activity, conversions, commission estimates, payout status, and related performance metrics.
All reporting data is provided for informational purposes only and may be delayed, adjusted, corrected, or incomplete. Only aggregated, non-personally identifiable customer information may be shared through affiliate reporting tools unless otherwise expressly authorized by Strata.
Cookies
Where cookie-based attribution is used, cookies may remain active for a defined period determined by the Program configuration. Cookie presence does not guarantee commission eligibility, which remains subject to validation, attribution rules, billing status, and these Terms.
Brand Representation and Intellectual Property
All Envizia, Strata, and related names, logos, trademarks, branding elements, content, and marketing materials are and remain the exclusive property of Strata or its licensors.
Subject to these Terms, Strata grants Affiliates a limited, revocable, non-exclusive, non-transferable license to use approved marketing materials solely for the purpose of participating in the Program and promoting Envizia in an authorized manner.
Affiliates may not:
- represent themselves as employees, agents, or official representatives of Strata or Envizia;
- provide official support on behalf of Strata or Envizia;
- negotiate pricing or contract terms on behalf of Strata;
- modify approved branding materials without permission;
- register, use, or control domain names, subdomains, social media handles, ad accounts, or other properties that are confusingly similar to Envizia, Strata, or related trademarks.
Affiliates may not bid on keywords that include “Envizia,” “Strata,” or confusingly similar marks in paid advertising without Strata’s prior written consent.
Independent Relationship
Affiliates are independent contractors and independent promotional partners. Nothing in these Terms creates any employment, agency, partnership, franchise, fiduciary, joint venture, or representative relationship between the Affiliate and Strata.
Affiliates have no authority to make commitments, representations, warranties, offers, or contractual obligations on behalf of Strata.
Indemnification
You agree to indemnify, defend, and hold harmless Strata Mixed Reality Inc., its affiliates, officers, directors, employees, contractors, licensors, and partners from and against any claims, demands, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your participation in the Program;
- your promotional activities;
- your violation of these Terms;
- your violation of applicable law;
- your infringement or violation of any third-party rights.
Limitation of Liability
To the fullest extent permitted by law, Strata shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of revenue, profits, goodwill, data, business opportunities, or expected commissions arising out of or related to the Program, even if advised of the possibility of such damages.
Strata is not responsible for tracking failures, attribution interruptions, cookie loss, reporting delays, payout timing changes, technical errors, processor failures, program interruptions, or modifications to the Program.
The Program is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory.
Suspension and Termination
Affiliate participation may be suspended or terminated immediately, with or without notice, if:
- these Terms are violated;
- promotional activity is misleading, deceptive, unlawful, or harmful to the Envizia or Strata brand;
- fraudulent referrals or artificial transactions occur;
- attribution manipulation is attempted;
- required disclosures are not used;
- payment, tax, or verification requirements are not satisfied;
- Strata determines, in its sole discretion, that continued participation is not in the Program’s best interests.
Upon termination, Strata may cancel unpaid commissions that are unverified, ineligible, subject to review, or associated with transactions that do not satisfy these Terms. Termination does not limit any other rights or remedies available to Strata.
Program Changes
Strata may modify, suspend, or discontinue any aspect of the Program at any time in its sole discretion, including but not limited to:
- commission rates;
- commission duration limits;
- attribution rules;
- validation periods;
- payout timing;
- minimum payout thresholds;
- eligibility requirements;
- promotional restrictions;
- approved attribution methods;
- Program policies, materials, or procedures.
Updated Terms or Program rules become effective when posted or otherwise communicated by Strata. Continued participation in the Program after such changes constitutes acceptance of the revised Terms or rules.
Electronic Agreement
Enrollment in, access to, or participation in the Program constitutes electronic acceptance of these Terms and has the same force and effect as a written signature.
Governing Law and Venue
These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Program shall be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction and venue of those courts.
